Terms & Conditions

 

1. DEFINITIONS

“Company”, “we”, “us”, “our” – Smarter Locks (Pty) Ltd, a private company registered in South Africa.

“Products” – Smart locks, accessories, firmware, and related hardware supplied by the Company.

“Services” – Software, app, web portal, and other digital services offered for property and access management.

“Software” – The proprietary smart lock and short-term rental management platform (including mobile and web apps).

“User”, “Client”, “you”, “your” – Any person or entity that purchases or uses our Products or Services.

“Agreement” – These Terms & Conditions together with any order, invoice, or referenced policy.

2. ACCEPTANCE OF TERMS

By purchasing, subscribing to, or using our Products or Services, you agree to these Terms.

If you act on behalf of a company, property, or organisation, you confirm you have authority to bind it to this Agreement.

3. PRODUCTS AND SERVICES

3.1 Smart Locks Supply

We sell and distribute smart locks and accessories within South Africa.

Products are supplied on a delivery-only basis via courier; we do not provide installation.

It is your responsibility to ensure compatibility of the Product with your door, frame, or access system prior to purchase.

You are responsible for installation, setup, and configuration of the Product at your own cost, using a competent installer or locksmith of your choice.

We accept no liability for damages or malfunctions caused by improper installation, configuration, or third-party interference.

3.2 Delivery

Products are shipped once payment has been received in full.

Delivery times are estimates and may vary due to courier availability or regional factors.

Risk of loss or damage passes to you upon courier handover or delivery confirmation.

You must inspect Products within 3 business days of delivery and report any defects or missing items in writing.

3.3 Software and Cloud Services

Our Software allows you to manage property access, digital keys, and short-term rental operations remotely.

Access is granted via a non-exclusive, non-transferable licence.

Software features may be updated, improved, or changed to enhance security or performance.

You must maintain reliable internet connectivity and device compatibility to use the Software effectively.

4. SUBSCRIPTIONS AND PAYMENT

Software and service fees may be charged on a monthly or annual basis.

Payments are due in South African Rand (ZAR) via approved payment methods.

Services may be suspended for late or failed payments.

Pricing includes VAT unless otherwise stated.

We may adjust prices with 30 days’ written notice to subscribers.

5. WARRANTY

Smart Locks carry a 12-month limited warranty covering manufacturing defects under normal use.

This warranty excludes:

Improper installation or use

Damage from power surges, moisture, or tampering

Wear and tear, cosmetic damage, or consumables (e.g. batteries)

Warranty claims require proof of purchase and product serial number.

Our liability under this warranty is limited to repair, replacement, or refund (at our discretion).

6. SOFTWARE USE

You may use the Software for managing properties, guests, or smart locks within lawful boundaries.

You must not copy, reverse engineer, modify, or distribute the Software.

Login credentials must be kept secure and not shared with unauthorised users.

We reserve the right to suspend access for misuse, breach, or unlawful activity.

7. GUEST ACCESS AND SECURITY

You are responsible for managing who receives access codes, digital keys, or credentials.

We are not liable for unauthorised entry, misuse, or breaches resulting from user error, poor password management, or compromised networks.

You must ensure guests, tenants, and third parties comply with your house rules and applicable laws.

8. DATA PRIVACY AND POPIA

We process personal information in accordance with the Protection of Personal Information Act, 2013 (POPIA).

We collect only the data necessary to deliver and support our Products and Services (e.g. user credentials, access logs, usage statistics).

By using our Software or Services, you consent to the collection and processing of such information.

You are responsible for informing your guests or users of data captured by the system.

Our full Privacy Policy (available on our website) forms part of this Agreement.

9. LIMITATION OF LIABILITY

Except as required by law, our total liability for any claim is limited to the total amount paid for the relevant Product or Service.

We are not liable for:

Losses caused by incorrect installation or use by third parties

Indirect or consequential losses (e.g. property damage, data loss, revenue loss)

Failures caused by power outages, internet disruptions, or external systems

You indemnify us against losses or claims resulting from misuse, incorrect installation, or breach of these Terms.

10. CONSUMER PROTECTION ACT NOTICE

These Terms comply with the Consumer Protection Act, 2008 (CPA).

If any provision conflicts with mandatory consumer protection laws, the affected clause shall be interpreted in line with those laws without invalidating the remainder of the Terms.

11. TERMINATION OF SERVICES

You may cancel your software subscription with 30 days’ written notice.

We may suspend or terminate accounts for non-payment, misuse, or breach of these Terms.

Upon termination, your access to the Software will be revoked and associated data may be deleted after a retention period.

12. INTELLECTUAL PROPERTY

All trademarks, Software, firmware, and content are the exclusive property of Smarter Locks (Pty) Ltd or its licensors.

No rights are granted other than those expressly stated in this Agreement.

You may not reproduce, distribute, or resell our materials without written consent.

13. FORCE MAJEURE

We are not liable for delays or failures caused by circumstances beyond our control, including but not limited to courier delays, load shedding, strikes, natural disasters, or system outages.

14. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Republic of South Africa.

Disputes shall first be resolved amicably through negotiation.

Failing that, the matter will be referred to arbitration in Johannesburg under the rules of the Arbitration Foundation of Southern Africa (AFSA).

Urgent matters may be brought before a South African court of competent jurisdiction.

15. GENERAL PROVISIONS

Entire Agreement: This document constitutes the entire agreement between the parties.

Amendments: We may revise these Terms and will publish updates on our website. Continued use constitutes acceptance.

Severability: If any clause is invalid, the remainder will still apply.

Notices: Legal notices must be sent to the addresses recorded in our systems or stated on your order.
